Increase in Authorized Share Capital

Authorized Share Capital is the maximum value of shares a company is legally authorized to issue to its shareholders. As the company grows it may have to issue new shares or raise capital to ensure efficient operation of the business. The same may be beyond the prescribed authorized share capital and in such a scenario, it is essential to increase authorized share capital. The authorized share capital of the company can be increased at any time, subject to the provisions of the Companies Act, which mandates amendment of MoA, board meeting, extra-ordinary general meeting and RoC filing.
